Terms for using Certiva subscription software.
These Terms govern access to Certiva modules, account responsibilities, billing, intellectual property, and the laws that apply to our B2B SaaS relationship.
Effective date: The date you first access or use the Certiva platform.
These Terms of Service ("Terms") are a binding agreement between Certiva Tech LLC ("Certiva," "we," "us," or "our") and the business entity or individual registering for or using our services ("Customer," "you," or "your").
By accessing certivallc.com, creating an account, starting a subscription, or using any Certiva module, you agree to these Terms and our Privacy Policy.
Services
Certiva provides subscription-based operational software, including Workforce Control, Payroll Management, Retail & Stock Control, and DME Workflow Control. Features, limits, and pricing tiers are described on our website and in your subscription plan. Certiva may update features over time; material reductions to core subscribed functionality will be communicated in accordance with your plan terms.
Eligibility and accounts
You must be at least 18 years old and authorized to bind the business you represent. You are responsible for maintaining accurate account information, safeguarding login credentials, and all activity under your account. You must promptly notify Certiva of unauthorized access.
Acceptable use
You agree not to:
- Use the services for unlawful, fraudulent, or abusive purposes
- Upload malware or attempt to disrupt platform integrity or security
- Access another customer's data without authorization
- Reverse engineer or resell the services except as expressly permitted
- Submit data you do not have the right to process
You remain responsible for compliance with employment, healthcare, retail, payment, and other laws applicable to your use of operational data within Certiva.
Subscription, billing, and taxes
Subscriptions are billed according to the plan selected at signup or renewal. Fees are stated exclusive of applicable taxes unless otherwise noted. Failure to pay may result in suspension or termination of access. Refund and cancellation rules are set forth in our Refund & Cancellation Policy.
Customer data
You retain ownership of operational data you submit to Certiva. You grant Certiva a limited license to host, process, transmit, and display that data solely to provide and improve the services, prevent abuse, and comply with law. Our handling of personal and operational data is described in the Privacy Policy.
Confidentiality
Each party may receive non-public information from the other. The receiving party will use reasonable care to protect such information and use it only for purposes related to the services, except as required by law.
Intellectual property
Certiva owns the platform, software, documentation, branding, and all related intellectual property. These Terms do not transfer ownership of Certiva materials to you. You receive a limited, non-exclusive, non-transferable right to use the services during an active subscription.
Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, CERTIVA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CERTIVA DOES NOT PROMISE UNINTERRUPTED OR ERROR-FREE OPERATION.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CERTIVA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. CERTIVA'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO CERTIVA FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Indemnification
You will defend and indemnify Certiva against claims arising from your data, your use of the services in violation of these Terms, or your violation of applicable law, except to the extent caused by Certiva's gross negligence or willful misconduct.
Suspension and termination
Certiva may suspend or terminate access for non-payment, security risk, or material breach of these Terms. You may cancel according to the Refund & Cancellation Policy. Upon termination, your right to use the services ends, and data handling will follow the Privacy Policy and any applicable data-export window.
Governing law
These Terms are governed by the laws of the State of Michigan, United States, without regard to conflict-of-law principles. The parties consent to exclusive jurisdiction and venue in the state or federal courts located in Oakland County, Michigan, except that Certiva may seek injunctive relief in any court of competent jurisdiction.
Changes
We may modify these Terms by posting an updated version on this page. Material changes will be indicated by an updated effective date. Continued use after changes become effective constitutes acceptance.
